Louisville Business Litigation Attorneys

Business litigation counsel for Louisville companies and owners. Contract, LLC and commercial property disputes, with a downtown Louisville office.

A business dispute can put more than the amount on an invoice at risk. It can interrupt operations, expose a problem between owners or hold up a transaction the company needs to complete. We represent companies and owners in Louisville business litigation, with a downtown office and Kentucky-admitted counsel.

We begin with the business objective and the records. If a customer has not paid, we want the contract, invoices and account history. If co-owners are in conflict, we want the operating agreement, ownership records and the communications that explain the disagreement. If the dispute concerns commercial property, we review the entity documents alongside the purchase or lease agreement.

That approach helps separate a disagreement that can be negotiated from one that requires a contested proceeding. It also gives you a basis for deciding how much to invest in the matter. We discuss scope, cost and the practical effect of the proposed resolution before a lawsuit becomes an end in itself.

The disputes we handle

Contract enforcement and defense

Disputed payments, performance obligations, termination and alleged breaches. The contract, amendments and performance history are the starting point for assessing the claim and the response.

LLC and co-owner disputes

Disagreements about decision-making, distributions, financial information or a proposed separation. We examine the company’s governing documents and financial records alongside the owners’ business objectives.

Commercial real estate conflicts

Disputes tied to commercial leases, purchase agreements and jointly held investment property. The property documents and the ownership structure are reviewed together so the proposed strategy addresses the entire transaction.

Pre-suit assessment and resolution

Demand letters, document review and negotiation before a case is filed, as well as evaluation of an existing lawsuit. We identify the disputed facts, missing records and main sources of expense before proposing the next phase.

Louisville companies and Jefferson County business disputes

Kentucky established its first Business Court Docket in Jefferson County to give eligible commercial cases specialized attention. The Kentucky Court of Justice publishes information and rules for that docket. A dispute between businesses does not automatically belong there; the applicable criteria and the posture of the case need to be reviewed.

Our downtown Louisville office provides a local contact for the company owner, investor or executive making those decisions. The first assessment considers the parties, the contract, the forum and the relief being sought. Where a transaction connects Kentucky with another jurisdiction, we also examine the agreement’s dispute provisions and the admissions needed for the proposed work.

An ownership dispute can affect the same company that holds a commercial building, owes money under a financing agreement or depends on a long-term supplier. We look at those connections when evaluating an exit, a negotiated resolution or litigation. Resolving one claim is not useful if the proposed terms create another problem for the operating business.

Before you contact litigation counsel

Where is your Louisville office?

Our downtown office address and direct telephone number appear below. Contact us to arrange a consultation and explain the nature of the dispute before sending confidential case materials.

Will my case go to the Jefferson County Business Court Docket?

That depends on the applicable docket criteria and your case. The Kentucky Court of Justice publishes the Business Court rules and information linked on this page. We review the claims and procedural position rather than assuming every commercial dispute is eligible.

Can you help with a dispute between LLC members?

Yes. We evaluate member and co-owner disputes, beginning with the operating agreement, ownership records, financial information and the specific conduct at issue. The consultation should also identify whether you want the business to continue, a negotiated exit or another resolution.

What if the other business is outside Kentucky?

Provide the agreement, the parties’ names and locations, and any papers already filed. We examine the connection to Kentucky, the contract’s dispute provisions and the scope of counsel needed. The firm’s Where We Practice page identifies its admitted attorneys and offices.

What should I do if I have already received court papers?

Tell us that when you contact the office and provide the papers and the date you received them. We need that information to assess the response schedule and whether the firm can take the matter. Do not assume that sending a consultation request means someone is already handling a court deadline for you.
